Terms of Service (AGB)

1. General & Scope

These Terms of Service govern your use of Director's Suite PRO, a cloud-based Software as a Service (SaaS) product developed and operated by Vienna City Filmmaking Academy (VCFA e.U.), based in Vienna, Austria. By creating an account, accessing, or using our tools, you agree to be bound by these terms. We reserve the right to update or modify these terms at any time.

2. Subscriptions and Usage Rights

We offer tiered subscription plans with specific licensing rules:

Free & Student Plans: Granted a non-exclusive, non-transferable license strictly for personal, non-commercial, and educational use only.
Filmmaker Plan: Granted a full commercial license, allowing the use of the tools for paid projects, feature films, and commercial client work.
Under no circumstances may you reverse-engineer, resell, scrape, or distribute the software or its underlying code.

3. User Content & Intellectual Property

You retain 100% ownership of all data, scripts, storyboards, shot lists, and project files you create using Director's Suite PRO. We do not claim any intellectual property rights over your creative work. However, you are solely responsible for ensuring your uploaded content (e.g., reference images, scripts) does not violate any third-party copyrights or laws.

4. Payments, Billing & "No Refund" Policy

All financial transactions are processed securely through our authorized payment gateway, Stripe.
Subscriptions automatically renew based on your chosen billing cycle unless canceled prior to the renewal date.
You may cancel your subscription at any time via your user dashboard.
No Refunds: We do not provide refunds, pro-rated or otherwise, for partial billing periods, unused time, or account cancellations.

5. Continuous Development & Service Availability

Director's Suite PRO is a continuously evolving platform. We frequently push updates, new tools, and structural changes. As such, the platform may occasionally experience bugs, temporary downtime, or maintenance interruptions. We explicitly reserve the right to modify, suspend, or discontinue any feature without prior notice. No refunds or compensations will be issued for downtime, software bugs, or changes in tool availability.

6. Data Storage & Backups (User Responsibility)

While Director's Suite PRO utilizes secure cloud databases to store your progress, we are not a guaranteed data vault. The responsibility for backing up your work lies entirely with you. You are required to frequently use the "Export PDF" or local download features provided within the tools. VCFA e.U. is strictly not liable for any data loss, corruption, or accidental deletion of your projects.

7. Limitation of Liability & Force Majeure

Director's Suite PRO is provided on an "as is" and "as available" basis. To the maximum extent permitted by Austrian law, VCFA e.U. and its owner shall not be held liable for any direct, indirect, incidental, or consequential damages. This includes, but is not limited to, lost production data, shooting delays, financial losses, or missed deadlines resulting from the use, or inability to use, our tools. Furthermore, we are not liable for any failure to perform due to unforeseen circumstances or causes beyond our reasonable control (Force Majeure), including server outages by third-party hosting providers.

8. Termination

We reserve the right to immediately suspend or terminate accounts, without prior notice or refund, that violate these terms, engage in abusive behavior, attempt to bypass system limits, or attempt to compromise the platform's security.

9. Governing Law & Jurisdiction

These terms shall be governed by and construed strictly in accordance with the laws of the Republic of Austria, excluding the UN Convention on Contracts for the International Sale of Goods. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in Vienna, Austria.
